Terms of Cooperation for Hotelcontracts

The following terms specify the agreements concluded in the Partnership contract between Yoga Escapes (a brand of Fit Reisen GmbH) and its "Partners".

§1 - Scope of Services

The Partner is obliged to provide the services booked by the guest in accordance with the contract. The booking details (in particular room category and booked program), together with the service description valid at the time of booking and agreed between the Parties pursuant to the published offer (in particular on the Yoga Escapes website), are binding. Any material changes to the scope of services require the prior written consent of Yoga Escapes.

§2 - Duty to inform

The Partner must immediately inform Yoga Escapes of any circumstances likely to significantly impair the provision of services or the guests' stay and must do so sufficiently in advance to enable Yoga Escapes to take the necessary measures towards the guests. This applies in particular to construction or renovation works, restrictions or closures of facilities (e.g. spa, wellness, gastronomy or leisure facilities), significant changes to equipment or furnishings, as well as substantial impairments in the vicinity of the hotel.

§3 - Liability

The Partner is liable for the proper provision of services to the guest and must indemnify against and hold harmless from Yoga Escapes all claims arising from inadequate or improper performance by the Partner. Yoga Escapes is entitled to set off such claims against any payment claims of the Partner. Furthermore, the Partner is directly liable towards the guest for personal injury and property damage caused by the Partner, its employees, or its facilities. Any restrictions for which the Partner is responsible - in particular construction works, damage or defects affecting rooms or facilities, restrictions in spa or treatment areas, as well as overbookings, as well as travel defects pursuant to §§651i ff. German Civil Code (BGB) - give rise to full liability for damages towards Yoga Escapes. In such cases, reliance on force majeure is excluded.

§4 - Rates

Prices submitted by the Partner are total prices inclusive of all taxes, duties, and charges, with the sole exception of any local tourist tax payable on site. Price changes become effective only upon written confirmation by Yoga Escapes.

§5 - Content Provision

The Partner must independently provide Yoga Escapes with all information required for marketing and booking purposes - in particular prices, availability, programs, and service descriptions - in an up-to-date and timely manner. Yoga Escapes intends to make hotels bookable at least 270 days in advance. The Partner must ensure that all required content and pricing information is provided completely and in due time for this purpose. If the Partner fails to comply with this obligation despite a prior reminder, Yoga Escapes is entitled to continue using the most recently provided information.

§6 - Marketing Budget

Any agreed marketing budgets expire at the end of the respective budget period and may not be carried over. The budget period corresponds to the contractually agreed period and does not necessarily coincide with the calendar year.

§7 - Cancellation Policy

Yoga Escapes applies to the Partner the same cancellation scales as those applicable towards the guest. The stated percentages constitute liquidated damages. The Partner bears the burden of proving that the actual damage incurred was lower.

Tourist individual services: up to 30 days prior to arrival 25 %, up to 22 days prior to arrival 30 %, up to 15 days prior to arrival 45 %, up to 8 days prior to arrival 60 %, up to 4 days prior to arrival 70 %, up to 2 days prior to arrival 85 %, from the day before arrival and in case of no-show 90 %.

Cruises: up to 31 days prior to arrival 40 %, up to 30 days prior to arrival 60 %, up to 24 days prior to arrival 70 %, up to 17 days prior to arrival 80 %, up to 10 days prior to arrival 85 %, from 3 days prior to arrival and in case of no-show 90 %.

§8 - Force Majeure

In cases of force majeure - in particular natural disasters, war, pandemics, travel warnings, airspace closures, or comparable extraordinary events - Yoga Escapes may cancel or rebook affected bookings free of charge. This also applies where the performance of the trip is significantly hindered or impaired due to extraordinary circumstances beyond the control of Yoga Escapes, in particular disruptions to air traffic or comparable events. The Partner must refund any payments already made for services not rendered. Any further claims for damages are excluded for both Parties in such cases.

§9 - Data Protection

The Partner processes guest data transmitted by Yoga Escapes exclusively for the purpose of providing the booked services and must comply with all applicable data protection laws, in particular the GDPR (General Data Protection Regulation). The use of such data for the Partner's own advertising purposes is not permitted without the guest's explicit consent. Where the Partner acts as a processor within the meaning of Art. 28 GDPR, the Parties conclude a data processing agreement.

§10 - Image and usage rights

The rights of use with respect to provided content (images, texts, marketing materials) are governed by the Partner Agreement. The Partner must indemnify and hold harmless Yoga Escapes from and against any third-party claims arising from the use of content provided by the Partner.

§11 - Compliance with Legal Requirements

The Partner must comply with all applicable statutory provisions and official regulations relating to its business operations and must immediately inform Yoga Escapes of any relevant changes to its operating licenses or permits.

§12 - Bank Charges

Bank charges, transfer fees, and currency conversion fees are borne individually by each Party.

§13 - Applicability, Contract Term and Amendments

These Supplier Terms shall apply exclusively; any conflicting, deviating or supplementary terms and conditions of the Partner shall not become part of the contractual relationship, even if Yoga Escapes does not expressly object to them.
The contract term and termination are governed by the Partner Agreement. Yoga Escapes may amend these Supplier Terms by giving six (6) weeks' prior written notice. Unless the Partner objects within four (4) weeks of receipt of such notice, the amendments are deemed accepted. Yoga Escapes must explicitly draw attention to this legal consequence in the amendment notice.
